TERMS OF USE

Last Updated: October 23, 2026

Terms of Amos Inc. (“Amos,” “we,” “us,” or “our”), a Wyoming corporation.

Amos provides a technology platform, website(s), mobile application(s), and related tools (collectively, the “Services”) that allow organizations – whether operated on a for-profit or nonprofit basis, including without limitation businesses, charities, churches, schools, associations, political committees, and foundations – to accept donations, payments, and other transactions from their donors, customers, members, and other supporters.

These Terms of Use (“Terms”) govern access to and use of the Services by any organization that registers for an account (each, an “Organization”), by the individuals who access the Services on an Organization's behalf, and by any donor, customer, or other individual who makes a payment or donation through the Services. “You” and “your” refer to whichever of these persons is using the Services, and, where you are acting on behalf of an Organization, also to that Organization.

BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU REPRESENT THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY (AVAILABLE AT amos.com/privacy), WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF AN ORGANIZATION, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

PLEASE NOTE: THESE TERMS CONTAIN AN ARBITRATION PROVISION (SECTION 16) THAT, WITH LIMITED EXCEPTIONS, REQUIRES DISPUTES BETWEEN YOU AND AMOS TO BE RESOLVED BY INDIVIDUAL, BINDING ARBITRATION RATHER THAN IN COURT, AND WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 16.5.

1. Eligibility

To access or use the Services, you must be at least 18 years of age and able to form a binding contract. By accessing or using the Services, you represent that: (a) you have not been previously suspended or removed from the Services; (b) you will comply with these Terms and all applicable laws and regulations; and (c) you are not a competitor of Amos accessing the Services to build a competing product or to replicate the Services.

If you are registering on behalf of an Organization, you additionally represent that the Organization is validly formed and in good standing under the laws of its jurisdiction of organization, and that you have full authority to bind the Organization to these Terms.

2. Accounts and Registration

2.1 Creating an Account.

To access the Services, an individual with legal and financial responsibility for the Organization (the “Account Owner”) must apply to register and create an account (an “Account”) through Amos' sign-up process, which will include providing information sufficient to verify the identity of the Organization and its Account Owner. Amos may accept or reject any application to open an Account in its sole discretion.

2.2 Authorized Users.

The Account Owner may invite other individuals from the Organization to access and use the Services on the Organization's behalf (each, an “Authorized User”). Only the Account Owner and Authorized Users may access and use the Services on behalf of an Organization, and the Organization is responsible for all acts and omissions of its Account Owner and Authorized Users.

2.3 Accuracy of Information.

You agree to provide true, accurate, current, and complete information during registration (“Registration Data”) and to promptly update it as needed to keep it accurate. You are responsible for all activity that occurs under your Account. You agree not to create an Account using a false identity, on behalf of someone other than yourself, or if you have previously been removed from or banned from the Services, and you agree not to maintain more than one Account for the same Organization without Amos' consent. Amos may suspend or terminate an Account if it reasonably believes Registration Data is untrue, inaccurate, or incomplete.

2.4 Account Security.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under them. You agree not to share login credentials among multiple individuals. You must notify Amos immediately at support@amos.com if you suspect any unauthorized access to or use of your Account. To the extent not prohibited by applicable law, Amos is not liable for any loss arising from your failure to secure your Account.

2.5 Pausing and Closing Accounts.

You may temporarily pause your Account at any time through your Account settings, or permanently close your Account at any time by contacting Amos at support@amos.com. Amos may hold funds in your Account for up to ninety (90) days after the effective date of a pause or closure (the “Hold Period”) to account for refunds, chargebacks, and other verification requirements. Funds remaining in your Account after the Hold Period, less any applicable fees, will be paid out according to your payout schedule, provided all payout-related verification requirements have been satisfied. Pausing or closing an Account does not relieve the Organization or its Account Owner of any obligations incurred before the effective date of the pause or closure, including payment of fees and chargebacks and obligations to Users arising from Transactions (defined in Section 6.1).

2.6 Inactive Accounts and Unclaimed Balances.

If an Account has been inactive, or has been closed, for at least six (6) months and still holds a balance, Amos will use commercially reasonable efforts to notify the Organization. If the Organization does not claim or direct disbursement of that balance within a reasonable period after notice, Amos will treat the balance in accordance with applicable unclaimed property (escheat) laws.

3. Privacy

Amos' collection, use, and disclosure of information in connection with the Services is described in our Privacy Policy, available at amos.com/privacy, which is incorporated into these Terms by reference. By accessing or using the Services, you agree to the collection, use, and disclosure of your information as described in the Privacy Policy.

4. The Services

4.1 Right to Access and Use.

Subject to your compliance with these Terms, Amos grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for their intended purpose. If Amos makes a mobile application available, Amos grants you a corresponding limited, non-exclusive, non-transferable, revocable license to download and use it solely in connection with the Services.

4.2 Changes to the Services.

Amos may modify, suspend, or discontinue all or part of the Services at any time. Where a change would materially reduce the functionality of the Services you are then using, Amos will provide reasonable advance notice where feasible, except where providing notice would create a security risk or cause Amos to violate applicable law.

4.3 Third-Party Sites and Services.

The Services may reference or link to third-party websites, applications, or services (“Third-Party Services”), including the services of Amos' payment processor(s), as a convenience. Amos does not control and is not responsible for Third-Party Services, and your use of them is at your own risk and subject to their own terms.

4.4 Additional Agreements and Policies.

Your use of certain features of the Services may be subject to additional terms or posted policies (collectively, “Additional Agreements and Policies”), which are incorporated into these Terms by reference. In the event of a conflict between these Terms and an Additional Agreement or Policy, the Additional Agreement or Policy will control solely with respect to the subject matter it addresses.

5. Prohibited and Restricted Activities

5.1 General Prohibited Conduct.

You agree not to, and not to permit any third party to:

  • violate, infringe, or misappropriate any third party's intellectual property, privacy, or publicity rights;
  • post or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, obscene, fraudulent, or otherwise objectionable, or that impersonates any person or entity;
  • decompile, reverse engineer, or otherwise attempt to derive the source code of the Services, except where such restriction is unenforceable under applicable law;
  • access or use the Services to build a competing product, or resell, sublicense, or provide the Services to any third party on a service-bureau or outsourced basis, except as these Terms expressly permit;
  • use bots, scraping, or other automated means to access the Services or collect data from them, or interfere with or disrupt the integrity, security, or performance of the Services;
  • attempt to gain unauthorized access to the Services or any related systems or networks; or
  • use the Services for any fraudulent, deceptive, or unlawful purpose.

5.2 Restricted Businesses and Activities.

Without limiting Section 5.1, you may not use the Services in, by, or for the benefit of any individual or entity that is: (a) located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive U.S. trade sanctions, or that is otherwise identified on a restricted or sanctioned-party list maintained by the U.S. Office of Foreign Assets Control or a comparable authority; (b) engaged in money laundering, terrorist financing, or other financial crime; (c) engaged in the sale of illegal goods or services, illegal drugs, weapons, or explosives; (d) operating an unlicensed gambling, sweepstakes, or money-transmission business; (e) engaged in multi-level marketing, pyramid, or Ponzi schemes; (f) engaged in the sexual exploitation of, or the distribution of sexually explicit content involving, minors; or (g) engaged in any other business or activity that Amos determines, in its reasonable discretion, poses an unacceptable legal, financial, reputational, or security risk to Amos or its Users. Amos may request additional information to evaluate compliance with this Section and may suspend or terminate any Account that it believes, in its reasonable discretion, violates this Section.

6. Fees, Payments, Taxes, and Refunds

6.1 Transactions; No Account Fees.

There is no fee to register for and maintain an Account. “Transaction” means any donation, payment, purchase, or other transfer of funds submitted or processed through the Services, whether from a donor, customer, member, or other supporter (each, a “Supporter”).

6.2 Processing Fees.

Amos charges processing and other fees in connection with Transactions and certain other features of the Services (“Processing Fees”). Current Processing Fees are available on our website or upon request. Amos may modify Processing Fees, or begin charging for Services currently offered free of charge, upon at least thirty (30) days' prior notice (or a longer period if required by applicable law); modified Processing Fees become effective automatically after that notice period.

6.3 Payment Processing.

Amos uses one or more third-party payment processors and their bank or financial-institution partners (collectively, the “Payment Processor”) to process Transactions. By creating an Account or submitting a Transaction, you agree to be bound by the Payment Processor's applicable terms of service and privacy policy, available at amos.com/msa, which are incorporated into these Terms by reference and may independently be enforced by the Payment Processor. Amos may change its Payment Processor(s) from time to time, and your continued use of the Services after such a change constitutes your agreement to the successor Payment Processor's applicable terms.

6.4 Authorization; Deduction of Fees.

By submitting a Transaction or linking a bank account or payment method to your Account, you authorize Amos and its Payment Processor to initiate the corresponding debit, credit, or transfer, and to automatically deduct applicable Processing Fees, chargebacks, penalties, and other amounts you owe under these Terms directly from Transaction proceeds or from your linked bank account or payment method. If any amount you owe is not paid when due, Amos may pursue any available legal remedy to recover it, and this obligation survives termination of your Account or these Terms.

6.5 Taxes.

You are solely responsible for determining, collecting, withholding, reporting, and remitting any taxes applicable to your use of the Services or to any Transaction, including any obligation to issue receipts or acknowledgments to Supporters. Amos does not provide tax, legal, or accounting advice and makes no representation regarding the tax-exempt status of any Organization or the deductibility of any donation.

6.6 Refunds.

Processing Fees are non-refundable, non-cancelable, and non-creditable, except where a Transaction is voided before processing, where required by applicable law, or where Amos agrees otherwise in its discretion. If you are an Organization selling goods or services, you must maintain and disclose a fair return, cancellation, or refund policy, apply it consistently across payment methods, and may not issue cash refunds for card transactions except where required by law. Refund requests generally must be submitted within one hundred eighty (180) days of the applicable Transaction.

7. Content

7.1 Your Content.

The Services may permit you to post, submit, or transmit text, images, video, and other materials (“Content”). You are solely responsible for your Content and its accuracy, legality, and appropriateness. You represent that you own or have all necessary rights, licenses, and consents to post your Content and to grant the license in Section 7.2, and that your Content does not infringe any third party's rights, violate any law, or contain viruses or other harmful code.

7.2 License to Amos.

By posting Content through the Services, you grant Amos a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, distribute, and otherwise use your Content solely in connection with operating, providing, promoting, and improving the Services. You may remove your Content at any time, although Amos may retain copies as required by law or as reasonably necessary for backup, legal, or archival purposes.

7.3 Content Disclaimer; Copyright Complaints.

Amos does not endorse and is not responsible for Content posted by Organizations, Supporters, or other Users, and may remove any Content that it believes, in its discretion, violates these Terms or applicable law. Amos responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act; Amos' DMCA notice procedure is available at amos.com/dmca.

8. Intellectual Property; Feedback

8.1 Amos' Intellectual Property.

Amos and its licensors own all right, title, and interest in the Services, including all related software, technology, trademarks, and other materials, and all intellectual property rights therein. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise, and Amos reserves all rights not expressly granted.

8.2 Feedback.

If you provide Amos with suggestions, ideas, or other feedback about the Services (“Feedback”), you grant Amos a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.

9. Suspension and Termination

9.1 By Amos.

Amos may suspend or terminate your access to or use of the Services, or your Account, at any time, with or without notice, including where Amos reasonably believes that: (a) you have breached these Terms or any Additional Agreement or Policy; (b) your use of the Services poses a security, fraud, legal, or reputational risk to Amos or others; (c) such action is necessary to comply with applicable law or a request from a governmental or law enforcement authority; or (d) continued provision of the Services to you is no longer commercially reasonable for Amos. Amos will not be liable to you or any third party for any such suspension or termination.

9.2 By You.

You may stop using the Services and close your Account at any time as described in Section 2.5. Your sole remedy for any dissatisfaction with the Services or these Terms is to stop using the Services and close your Account.

9.3 Effect of Termination.

Upon termination of your Account for any reason: (a) your right to access and use the Services immediately ends; (b) you must promptly remove any Amos trademarks, payment logos, or Service integrations from your website or other materials; (c) any funds in your Account will be handled as described in Section 2.5; and (d) you remain responsible for all obligations that accrued before termination, including payment of fees and chargebacks and any obligations to Supporters arising from Transactions. Sections of these Terms that by their nature should survive termination, including Sections 6 (as to accrued amounts), 7 through 9, and 10 through 17, will survive.

10. Representations and Warranties

You represent and warrant to Amos that:

  • you have the right, power, and authority to enter into and perform your obligations under these Terms;
  • each Transaction you submit represents a bona fide transaction and, where applicable, accurately describes the goods, services, or purpose of the donation involved;
  • you will fulfill your obligations to each Supporter in connection with any Transaction and will resolve any related dispute or complaint directly with the Supporter;
  • you and your use of the Services will comply with all applicable federal, state, and local laws and regulations, including tax laws and laws applicable to charitable solicitation and fundraising, where applicable; and
  • you will not use the Services for any fraudulent purpose or in any manner that interferes with the Services or other Users' use of them.

Back to top

11. Indemnification

You agree to indemnify, defend, and hold harmless Amos and its affiliates, officers, directors, employees, agents, licensors, and Payment Processor from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your Content; (c) your Transactions; (d) your violation of these Terms; or (e) your breach of any representation or warranty in these Terms. Amos may, at your expense, assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with Amos' defense of the claim.

Back to top

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AMOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. NO ADVICE OR INFORMATION OBTAINED FROM AMOS OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, in which case the disclaimers above will apply to the maximum extent permitted by applicable law.

Back to top

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AMOS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF AMOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AMOS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE PROCESSING FEES ACTUALLY PAID BY YOU TO AMOS (NET OF AMOUNTS PAID TO OR RETAINED BY AMOS' PAYMENT PROCESSOR OR A CARD-ISSUING BANK) DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

If you have a dispute with one or more Users of the Services (including a dispute between an Organization and a Supporter), you release Amos from any claims, demands, and damages arising out of or connected with that dispute, to the fullest extent permitted by applicable law.

Some jurisdictions do not allow the limitation or exclusion of incidental or consequential damages, so some of the above limitations may not apply to you.

Back to top

14. Notices and Electronic Communications

Amos may provide notices to you, including notices of changes to these Terms, by email to the address associated with your Account, by regular mail, or by posting on the Services. Notice by email is deemed given twenty-four (24) hours after it is sent, unless Amos is notified the email address is invalid; notice by mail is deemed given three (3) days after mailing; and notice by posting on the Services is deemed given thirty (30) days after posting. You consent to receive communications from Amos electronically, and agree that electronic communications satisfy any legal requirement that such communications be in writing.

Back to top

15. Modifications to These Terms

Amos may modify these Terms at any time by posting the revised Terms to the Services and updating the “Last Updated” date above. If a change materially modifies your rights or obligations, Amos will use commercially reasonable efforts to notify you, such as by email or an in-product notice, and, where required by applicable law, will obtain your affirmative acceptance before the change takes effect. Otherwise, the revised Terms become effective thirty (30) days after posting. Your continued use of the Services after a change becomes effective constitutes your acceptance of the revised Terms. If you do not agree to a change, you must stop using the Services before it takes effect.

Back to top

16. Dispute Resolution; Arbitration Agreement

Please read this Section carefully. It affects your legal rights, including your right to bring a claim in court and to participate in a class action.

16.1 Governing Law.

These Terms are governed by the laws of the State of WYOMING, without regard to its conflict-of-laws principles.

16.2 Informal Resolution First.

Before filing a claim, you agree to first contact Amos at legal@amos.com and attempt in good faith to resolve the dispute informally. If the dispute is not resolved within thirty (30) days after such notice, either party may proceed as described below.

16.3 Agreement to Arbitrate.

EXCEPT AS SET OUT IN THIS SECTION 16, YOU AND AMOS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (A “DISPUTE”) WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS RULES THEN IN EFFECT, RATHER THAN IN COURT, AND EACH PARTY EXPRESSLY WAIVES ITS RIGHT TO A TRIAL BY JURY.

The arbitration will be conducted in English, before a single arbitrator, in ATLANTA, GEORGIA, UNITED STATES or at another location the parties agree to in writing. This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator will apply the substantive law identified in Section 16.1 and may award any relief that would be available in court, but may not award relief that conflicts with these Terms. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

16.4 Class Action Waiver.

YOU AND AMOS AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. NEITHER YOU NOR AMOS WILL PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION FOR ANY DISPUTE. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR DISPUTE, THEN THE AGREEMENT TO ARBITRATE IN SECTION 16.3 WILL NOT APPLY TO THAT DISPUTE, AND IT MUST INSTEAD BE RESOLVED IN THE COURTS IDENTIFIED IN SECTION 16.7.

16.5 Right to Opt Out.

You may opt out of this arbitration agreement by sending written notice to LEGAL@AMOS.COM within thirty (30) days after you first agree to these Terms. Your notice must include your name, the Organization or Account it relates to, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Amos will be bound by the arbitration agreement in this Section 16, but all other provisions of these Terms, including the class action waiver, will continue to apply to the maximum extent permitted by law.

16.6 Exceptions.

Notwithstanding the foregoing: (a) either party may bring an individual action in small claims court for a qualifying claim; and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality rights, or unauthorized access to the Services.

16.7 Judicial Forum for Non-Arbitrable Disputes.

If the agreement to arbitrate in Section 16.3 is found not to apply to you or to a particular Dispute, you and Amos agree that the Dispute will be brought exclusively in the state or federal courts located in GEORGIA, UNITED STATES, and each party consents to the personal jurisdiction and venue of those courts.

16.8 Time to File; Attorneys' Fees.

Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim accrues, or it will be permanently barred. In any arbitration or court proceeding to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, in addition to any other relief awarded.

Back to top

17. General Provisions

17.1 Relationship of the Parties.

You and Amos are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Amos.

17.2 Assignment.

You may not assign or transfer these Terms or any rights or licenses granted under them without Amos’ prior written consent, except that you may assign these Terms in connection with a merger, acquisition, or sale of substantially all of your assets upon prior written notice to Amos. Amos may assign or transfer these Terms without restriction. Any attempted assignment in violation of this Section is void.

17.3 Force Majeure.

Neither party will be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor conditions, governmental action, or failures of the internet or telecommunications infrastructure; provided that this Section does not excuse your payment obligations.

17.4 No Waiver; Severability.

Amos’ failure to enforce any provision of these Terms is not a waiver of its right to do so later, and any waiver must be in writing and signed by Amos. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.5 Export Compliance.

You agree to comply with all applicable U.S. and foreign export control and economic sanctions laws in connection with your access to and use of the Services.

17.6 Entire Agreement.

These Terms, together with the Privacy Policy, the applicable Payment Processor terms, and any Additional Agreements and Policies, constitute the entire agreement between you and Amos regarding the Services and supersede all prior or contemporaneous agreements on that subject.

17.7 Geographic Scope.

Amos is based in the United States, and the Services are intended for use within the United States and its territories. Amos makes no representation that the Services are appropriate or available for use elsewhere, and if you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local law.

17.8 Headings.

Section headings are for convenience only and do not affect the interpretation of these Terms.
